MEMPHIS ATTORNEY DISBARRED

On August 20, 2002, the Supreme Court of Tennessee entered an order disbarring
John A. Jennings from the practice of law.

The Order of Disbarment stipulated that John A. Jennings consented to disbarment
because he could not successfully defend himself on the charges alleged in the
complaint filed against him. The disbarment was issued pursuant to Section 15.1 of
Tennessee Supreme Court Rule 9. The order further stipulated that John A. Jennings
shall reimburse the Lawyers Fund for Client Protection for any monies that are paid out
on his behalf; and ordered that John A. Jennings shall make restitution to any clients
who have a valid claim or judgment against him as a result of his misconduct.

The Order of Disbarment stipulated that John A. Jennings conceded the he violated
DR –1-102(A)(1)(2)(3)(4)(5)(6) and DR 9 -102(A)(B) of the Code of Professional
Responsibility, which are rules governing the use of attorney trust accounts.

Tennessee Supreme Court Rule 9 provides that an attorney disbarred may not apply
for reinstatement until the expiration of at least five years from the effective date of the
disbarment. The disbarment order shall remain in effect until an order of reinstatement
is issued by the Supreme Court of Tennessee upon a showing by clear and convincing
evidence that his reinstatement to the practice of law would in no way be detrimental to
the public interest.
